Bird Luckin corporate finance team aid Air Livery's completion of Sprayavia takeover - case study

A Norwich-based company has become one of Europe’s largest independent operators of aircraft repainting and refinishing services after it bought one of its rivals.

Air Livery plc has expanded its European market share to more than 70 per cent after buying Sprayavia for an undisclosed sum.

The deal means the acquirer will now operate from more sites throughout the UK and will look to move into the corporate and VIP aircraft markets in the US, Russia and the Middle East.

Air Livery managing director Adrian Tucker said the acquisition introduces the possibility of winning new contracts. “The extra operational capacity that this brings to the company allows us to pursue opportunities with larger fleet operators and diversify our revenue stream.”

The transaction was funded by Royal Bank of Scotland (RBS), which provided debt and working capital.  RBS appointed a team at Bird Luckin to manage a financial due diligence review of the target business before it agreed to finance the deal.

Its team was led by directors David Enser and Sarah Cruise, who led teams working with the acquirer and the vendor as they were competitors.

Enser, who led the team advising Air Livery, said the assignment needed to be completed to an exacting timetable.

“We believe the acquisition of Sprayavia represents a tremendous opportunity for Air Livery to consolidate its position as the leading independent aircraft refinisher in Europe and to take advantage of the potential synergies, which should accrue as a result of combining these two businesses,” he added.

Air Livery works on some 200 aircraft a year from its sites in Southend, Bristol, the East Midlands Airport and Cambridge. It has contracts with operators, such as Alitalia, Aer Lingus, easyjet, Swiss International, Virgin Atlantic and Emirates Airlines.

Sprayavia, which is based at Norwich International Airport, operates three temperature and humidity controlled centres for aircrafts up to Boeing 757 size.
